Terms of Service

1. Service Provider Role

BridgePay Associates is a technology and service provider. We build, operate, and support payment orchestration software that helps merchants connect to multiple payment service providers (PSPs), route transactions, and manage payout flows.

We are not a bank, payment institution, money transmitter, or financial advisor. We do not hold merchant funds, accept deposits, or issue payments directly. Settlement of funds is handled by the third-party PSPs, acquirers, and banking partners integrated into our platform. Any reference to "payouts," "settlements," or "processing" on this site refers to flows made available through those third parties, subject to their terms and to our underwriting review.

2. Merchant Responsibility

By using our services, you represent that your business is lawful, properly licensed, and authorized to operate in every jurisdiction where you sell. You are solely responsible for:

• The products and services you sell;
• Your compliance with applicable laws, card-network rules, and PSP terms;
• The truth and accuracy of the information you provide during onboarding;
• Chargebacks, refunds, customer disputes, and taxes; and
• Any misuse of our platform by you, your employees, or your customers.

3. Prohibited Activities

You may not use BridgePay Associates to process, facilitate, or support illegal, fraudulent, deceptive, or high-risk activities that violate applicable law or the policies of our PSP partners. This includes, but is not limited to:

• Money laundering, terrorist financing, or sanctions evasion;
• Transactions involving prohibited goods or services;
• Intentional chargeback fraud or transaction laundering;
• Impersonation, identity theft, or unauthorized use of payment credentials;
• Any activity that exposes BridgePay Associates, our partners, or other merchants to legal or reputational risk.

We reserve the right to suspend access, terminate accounts, and report suspicious activity to the appropriate authorities or PSP partners without prior notice.

4. No Liability for Client Conduct

BridgePay Associates is not responsible for the actions, content, products, or services of our merchants or their customers. We do not endorse, verify, or guarantee any merchant's business. To the fullest extent permitted by law, we are not liable for any losses, fines, penalties, or damages arising from a merchant's unlawful, fraudulent, or negligent conduct, or from a third-party PSP's decision to hold, freeze, or decline funds.

5. Underwriting & Approval

Access to our platform and to any specific PSP or payout feature is subject to underwriting, Know-Your-Business (KYB) checks, and the approval of our banking and PSP partners. Submission of an application or questionnaire does not guarantee approval. We may decline or terminate any merchant relationship at our sole discretion.

6. Changes to These Terms

We may update these Terms of Service from time to time. Continued use of the site or services after changes are posted constitutes acceptance of the revised terms.
